User Agreement, Service Terms, and Terms of Use

The Terms and Conditions along with the Usage Terms outlined here are in effect for www.usdesis.org ("the Site" or “USDesis.org” or “USDesis”). The Site is a non-profit initiative, owned and operated by USDesis Admin, acting as a DBA (Doing Business As) under the umbrella of the parent non-profit organization, Time2Care. The Site's mission is to deliver an impeccable community service and building a better community together!

By utilizing our Site, you affirm that you have read, understood, and agreed to comply with these Terms and Conditions at all times. By engaging with our servers, services, websites, or any correlated content/postings (jointly referred to as "USDesis.org"), you consent to these Terms of Use. You accept and agree that USDesis.org is a privately-owned site, managed by UsDesis.org If you're utilizing USDesis.org on behalf of a business, you represent and guarantee to USDesis.org that you possess the authority to accept the Terms of Use on behalf of that business and that the business concurs with the Terms of Use. Unauthorized use of USDesis.org or the App is strictly prohibited if you don't agree with the Terms of Use. We hold the right to amend the Terms of Use at our sole discretion. Your responsibility includes periodically reviewing the changes and you're bound by them if you persist in using USDesis.org. Our privacy policy, prohibited list, and all referenced policies, site rules, and agreements on USDesis.org, are thoroughly integrated into this Terms of Use, and you accede to them.

INTELLECTUAL PROPERTY

All content displayed and accessible on our Site, including but not limited to, images, text, logos, documents, downloadable files, are proprietary to USDesis Admin and the creators of the Site.

ACCEPTABLE USE

As a user of our Site, you are bound by an agreement to use our Site legally, not to engage in any illegal activities, or perform any of the following actions:

• Disrespect, harass or ill-treat other users of the Site;
• Infringe upon the rights of other users or violate the intellectual property rights of the Site owners or any third party;
• Compromise the account of another user of the Site;
• Act in a fraudulent or deceptive manner;
• Post any inappropriate, offensive, or unsuitable material;
• Post any adult content, children pictures, any misleading content, unauthorized content, content intended to harm or deceive people in any manner.

In cases where we believe you are using our Site for illegal purposes or in a manner that breaches these Terms and Conditions, we reserve the right to limit, suspend or terminate your access to our Site and take any necessary legal action.

LICENSE

Subject to your agreement to the Terms of Use and either

• Being of appropriate age and capacity to use USDesis.org and be committed to the Terms of Use, or >
• Using USDesis.org on behalf of a business, thereby binding that business to the Terms of Use, we grant you a circumscribed, revocable, non-exclusive, non-assignable license to use USDesis.org in compliance with the Terms of Use. Unauthorized usage is strictly forbidden. You consent not to manipulate, "frame," create derivative works, distribute, license, or sell content from USDesis.org, barring postings you create. You permit us a perpetual, irrevocable, unlimited, worldwide, fully paid/sub licensable license to use, replicate, display, distribute, and create derivative works from content you post.

USAGE

Except authorized by us in a distinct written or electronic agreement, you agree not to use or provide software (aside from our App and general-purpose web browsers and email clients) or services that engage with USDesis.org, such as for downloading, uploading, creating/accessing/using an account, posting, flagging, emailing, searching, or mobile usage. Unauthorized copying/collecting of USDesis.org content via robots, spiders, scripts, scrapers, crawlers, or any automated or manual methods (e.g., by hand) is prohibited. Misleading, unsolicited, and/or unlawful postings/communications/accounts are strictly forbidden, as is buying or selling accounts. You commit not to post content that is disallowed by any of USDesis.org policies or rules referenced above ("Prohibited Content"). You agree to abide by USDesis.org flagging or reporting processes and not to gather USDesis.org user information or obstruct USDesis.org.

USER CONTRIBUTIONS

Users may share the following on our Site:

• Items for sale;
• Photos;
• Videos;
• Public comments;
• Advertisement of services;
• Buy/Sell goods; and
• Referrals to services.

By sharing publicly on our Site, you agree to act lawfully and in accordance with these Terms and Conditions.

ACCOUNTS

When you create an account on our Site, you agree that:

• You alone are responsible for your account's security and privacy, including passwords or any sensitive information attached to that account; and
• The personal information you provide to us through your account is up to date, accurate, and truthful, and you will update this information should any changes occur.

We hold the right to suspend or terminate your account if you are found to be using our Site illegally or if you violate these Terms and Conditions.

SERVICE SALE TERMS

The Terms and Conditions here oversee the sale of services available on our Site. Services include but are not limited to donations for a service, purchase of tickets to shows, and events from third-party sites. Services will be paid for in full at the time of ordering.

The terms and conditions apply to all the services displayed on our Site at the time of your access. While we ensure all information, descriptions, or images we provide about our services are as accurate as possible, we do not guarantee the precision of all services we provide. We reserve the right to modify, reject or cancel your order if necessary. If we cancel your order after processing your payment, we will refund the full amount paid.

USER GOODS AND SERVICES

Our Site allows users to sell goods and services. However, we cannot guarantee the quality or accuracy of any goods and services sold by users on our Site. If we are made aware of a user violating these Terms and Conditions, we reserve the right to suspend or prohibit the user from selling goods and services on our Site.

SUBSCRIPTIONS

Your subscription is set to renew automatically, and you will be billed until we receive notification of your intent to cancel the subscription.

UNSUBSCRIBE or OPT-OUT

Your can cancel your account from your profile page (click here) so that all your posted ADs will be immediately disabled and no users can respond to your ADs. 
You can Unsubscribe or Opt-Out from your emails by clicking "Unsubscribe" link at bottom of any emails received through USDesis.org

PAYMENTS

We accept payments via Credit Card and PayPal. When you provide your payment information, you authorize our access to the chosen payment instrument. If we find that your payment has violated any law or these Terms and Conditions, we reserve the right to cancel or reverse your transaction.

REFUNDS

Refunds for Services: We only provide refunds for services sold on our Site under circumstances of accidental charges from usdesis.org or errors made by usdesis.org in billing.

CONSUMER PROTECTION LAW

Wherever consumer protection legislation is in effect in your jurisdiction and cannot be excluded, these Terms and Conditions will not limit your legal rights and remedies under that legislation.

LINKS TO OTHER WEBSITES

Our Site may contain links to third-party websites or services that are not owned or controlled by us. We hold no responsibility for the content, policies, or practices of any third-party website or service linked to on our Site. It is your responsibility to read the terms and conditions and privacy policies of these third-party websites before using these sites.

LIMITATION OF LIABILITY & DISCLAIMER

USDesis Admin and our directors, volunteers, officers, agents, employees, subsidiaries, and affiliates will not be liable for any actions, claims, losses, damages, liabilities, and expenses including legal fees from your use of the Site.

In compliance with law, UsDesis.org, its officers, directors, employees, agents, licensors, affiliates, and successors in interest (collectively, "USDesis.org Entities") make no warranties or representations about USDesis.org. USDesis.org Entities are NOT liable for any losses arising from or related to USDesis.org.

LIQUIDATED DAMAGES

You further consent that if you breach the Terms of Use, or if you enable, support, benefit from, or incite others to do so, you will be jointly and severally accountable to us for liquidated damages as described further.

FEES

When you make a paid posting, you authorize us to charge your account. Any tax is additional. Fees are non-refundable, even for posts we remove, delay, omit, re-categorize, re-rank, or otherwise moderate. We reserve the right to refuse any posting.

INDEMNITY & CLAIMS

Except where prohibited by law, by using this Site you indemnify and hold harmless USDesis Admin and our directors, officers, agents, employees, subsidiaries, and affiliates from any actions, claims, losses, damages, liabilities, and expenses including legal fees arising out of your use of our Site or your violation of these Terms and Conditions.

Any claim, dispute, or contention arising from or related to your interactions with USDesis.org ("Claims") will be governed by the intrinsic laws of Michigan, exempting conflict of law provisions, except to the extent determined by US federal law. All Claims will be conclusively settled by courts in Troy, Michigan. However, we may seek immediate or injunctive relief anywhere necessary. By interacting with USDesis.org, you acknowledge:

• the jurisdiction of courts in Troy, Michigan;
• your responsibility to indemnify and safeguard USDesis.org Entities from any Claims, losses, liabilities, or expenses (including attorneys' fees) emanating from a third party and associated with your use of USDesis.org;

APPLICABLE LAW

These Terms and Conditions are governed by the laws of the State of Michigan.

ADDITIONAL TERMS

As a non-profit organization aimed at serving the community, we do not entertain any form of lawsuits.

This is the comprehensive and exclusive agreement between us and you, superseding all previous and concurrent understandings, agreements, representations, and warranties, both written and verbal, unless you have entered into a separate written or electronic agreement with us that explicitly refers to the Terms of Use. Users adhering to prior written licenses may access USDesis.org until such authorization is revoked. Our actions or inactions regarding you or anyone else neither waives, modifies, nor limits the Terms of Use or our capacity to enforce it.

The USE, LIQUIDATED DAMAGES, and CLAIMS & INDEMNITY sections withstand termination of the Terms of Use, and you will remain bound by those sections. If a Terms of Use term is inapplicable, it shall be restricted to the least extent possible and replaced with a valid provision that best mirrors the intention of the parties. The English version of the Terms of Use prevails over any translations. If you reasonably suspect content infringes your IP rights, please contact us.

SEVERABILITY

If at any time any of the provisions set forth in these Terms and Conditions are found to be inconsistent or invalid under applicable laws, those provisions will be deemed void and will be removed from these Terms and Conditions. All other provisions will not be affected by the removal and the rest of these Terms and Conditions will still be considered valid.

CHANGES

These Terms and Conditions may be amended from time to time to maintain compliance with the law and reflect any changes in the way we operate our Site and the way we expect users to behave on our Site.

PROHIBITED ACTIVITIES AND ITEMS

Users must abide by all applicable laws, the USDesis.org terms of use, and all posted site rules. Here's an incomplete list of items, services, and content forbidden on UsDesis.org, including but not limited to:

• Prescription drugs, medical devices; controlled substances and related items
• Alcohol or tobacco; unpackaged or adulterated food or cosmetics
• Certain animal sales and services
• Endangered, imperiled, or protected species and parts thereof
• Misleading, deceptive, or fraudulent content; bait and switch; keyword spam
• Personal, identifying, confidential, or proprietary information of others
• Certain government assistance
• Stolen property or items with altered serial numbers; burglary tools
• Certain official documents
• Certain military items
• Counterfeit, replica, or pirated items; restricted tickets or gift cards
• Gambling items
• Spam; miscategorized, overposted, cross-posted, or nonlocal content
• Certain postings or email with promotional intent
• Affiliate marketing; network, or multi-level marketing; pyramid schemes
• Any good, service, or content that violates the law or legal rights of others

Please refrain from using USDesis.org for above purposes, and report anyone you observe doing so.
